LICENSING & PARTNERING

Partnering.

Different Objectives. Different Access Models.

Pharmact structures D016 material supply, technology licensing, pharmaceutical development partnerships and strategic transactions as separate engagement models.

01SUPPLYMaterial access
02LICENSEDefined rights of use
03OWNERSHIPTransfer of defined rights

Separate legal and commercial models · no implied rights

ACCESS MODELS

Supply ≠ License ≠ Ownership.

Access to D016 material does not grant rights to the underlying technology, intellectual property or therapeutic development programs.

01 · SUPPLY

Material Access

Supply provides access to defined D016 material under agreed specifications, quality requirements and commercial terms.

No technology license. No transfer of IP ownership.
  • Evaluation material
  • RUO / defined B2B supply
  • Cosmetic ingredient supply
  • Project-specific quantities
02 · LICENSE

Defined Rights of Use

A license grants specifically defined rights to use Pharmact technology or intellectual property within an agreed field, territory, application or development program.

Rights are limited to the agreed scope. Ownership remains with the respective IP owner unless expressly transferred.
  • Field-of-use rights
  • Territory rights
  • Application-specific rights
  • Exclusive / non-exclusive structures
03 · OWNERSHIP

Transfer of Defined Rights

Ownership means an assignment or transfer of defined intellectual-property rights or assets and is fundamentally different from supply or licensing.

No ownership transfer is implied by material supply, technical disclosure, development cooperation or licensing discussions.
  • Express written assignment only
  • Defined asset or IP scope
  • Separate legal due diligence
  • Separate transaction documentation

PARTNERING MODELS

Partnering Structure Follows the Objective.

The appropriate model depends on intended use, development stage, required rights, regulatory context, geography and the level of technical access.

A

D016 Supply Partnering

Defined material supply for research, evaluation, industrial, cosmetic or other agreed B2B contexts under application-specific specifications and documentation.

Defined material · defined specification · defined use context
B

Technology Licensing

Licensing discussions may cover defined fields of use, territories, applications, development rights or commercialization rights, subject to technical, legal and commercial due diligence.

Rights only within the expressly agreed scope
C

BELACT Co-Development / Pharma Partnering

BELACT partnering is distinct from D016 material supply and non-pharmaceutical licensing. Potential structures may include co-development, regional development rights, licensing, strategic investment or later-stage pharmaceutical partnering.

BELACT remains investigational; partnering does not imply clinical efficacy or regulatory approval.
D

Strategic Transactions

Pharmact may evaluate broader strategic structures where they are aligned with asset development, IP protection and long-term value creation.

Asset, program, regional-rights or other strategic structures require separate agreement.

STRUCTURED PARTNER QUALIFICATION

Technical Access Follows a Qualified Project Scope.

Before detailed disclosure or supply, Pharmact may require information regarding intended use, technical capabilities, regulatory context, quality requirements, geographic scope and commercial objectives.

The exact sequence and level of review depend on the engagement model and required access.

RIGHTS / ACCESS MATRIX

Access Does Not Define Rights. Agreements Do.

The matrix illustrates the separation of common engagement models. Final rights, disclosure scope and commercial terms are governed only by the applicable executed agreement.

EngagementMaterial AccessTechnical InformationRight to Use IPExclusive RightsIP / Asset Ownership
Evaluation / Research SupplyYesLimitedNoNoNo
Commercial SupplyYesDefined for supply and useNoOnly if expressly agreed; no implied IP exclusivityNo
Technology LicenseAs agreedDefined within licensed scopeYes – within licensed scopePossible if expressly agreedNo
Co-DevelopmentAs agreedProject-specificDefined by agreementPossibleNo, unless separately agreed
IP / Asset TransferAs agreedAgreed transaction scopeTransferred or assigned rights As agreedPossible – only if expressly transferred

Rights and disclosures are defined by agreement – not inferred from access to material or information.

Material supply, technical discussions or access to documentation do not by themselves grant licensing, exclusivity, sub-licensing or ownership rights.

CONTROLLED DISCLOSURE

Access Does Not Automatically Include Proprietary Rights or Know-How.

Technical Information Is Shared According to Project Scope.

Rights and disclosures are defined by agreement – not inferred from access to material or information.

Access does not automatically include:

  • manufacturing know-how or proprietary process parameters
  • confidential purification or expression information
  • unrestricted sequence or engineering rights
  • therapeutic development or BELACT rights
  • sublicensing or commercialization rights
  • exclusivity or territorial rights
  • intellectual property ownership

Pharmact provides technical information at the level required for the qualified purpose of the engagement. Detailed proprietary information relating to expression, purification, manufacturing processes, analytical methods or other protected know-how may require confidentiality, technical qualification and an appropriate contractual framework.

The level of disclosure may increase as a project progresses from evaluation to licensing, co-development or another defined strategic structure.
